A transmission taxonomy: financial risk, macro amplification, operational criticality, and strategy

The traditional banking analogy captures political salience but obscures the distinct mechanisms through which a frontier firm can affect portfolios, credit, critical operations, and state capacity.

"Too big to fail" emerged from institutions whose sudden collapse could interrupt payments, destroy short-term funding, freeze credit, and impose losses on counterparties unable to replace them. Frontier technology firms usually have different liabilities and failure dynamics. A large equity drawdown can weaken wealth and capital expenditure without becoming a financial crisis. Conversely, a smaller provider can be operationally critical without being financially systemic. The categories must be tested independently rather than combined into a score that can absorb any outcome.

Four categories and one cross-cutting condition

The framework uses four outcome categories. Hard financial systemic risk exists when distress materially impairs credit creation, funding markets, payments, clearing, or major intermediaries. Macro-financial amplification operates through wealth, collateral, investment, employment, suppliers, utilities, and regional tax bases. Operational criticality exists when a service cannot be replaced within the required recovery time. Strategic importance concerns defense, communications, science, industrial capacity, or state autonomy. Resolvability and governance cut across all four by determining whether a service can continue while equity and management change.

NO COMPOSITE SYSTEMIC SCORE Market exposure, hard financial transmission, macro-financial amplification, operational criticality, strategic importance, and resolvability are assessed separately. The framework does not assign weights, aggregate them into CSI, or infer shareholder protection from operational or political importance.

Market importance is not financial-system importance

A market-capitalization loss is principally an asset-side event. Its immediate effects are lower portfolio values, weaker collateral, reduced risk appetite, and possibly lower consumption through wealth effects. A banking crisis is often a liability-side event in which runnable funding, maturity transformation, and payment obligations force rapid asset sales. The channels can intersect, especially when nonbank intermediaries use leverage or derivatives, but they should not be conflated.

This distinction changes the expected rescue mechanism. In a bank crisis, authorities may provide liquidity, guarantees, or capital because the liabilities themselves are part of the monetary and payments system. In a frontier-platform crisis, authorities are more likely to protect continuity: maintaining satellite service, preserving secure model access, facilitating a sale, transferring government contracts, ring-fencing data, or supporting critical suppliers. Shareholders can be diluted or wiped out while the service survives.

The categories are not a ladder

Hard financial systemic risk

A firm is financially systemic only when distress can impair core financial functions, not merely because many investors own the stock. The test focuses on bank and nonbank credit, short-term funding, collateral, derivatives, clearing, payments, and forced deleveraging. A drawdown that remains inside diversified portfolios is a market loss, even when politically painful.

Macro-financial amplification

A frontier firm can be macro-financially consequential without threatening the payments system. A valuation or investment shock can reduce household wealth, pension funding, infrastructure spending, supplier revenue, employment, and regional tax receipts. The claim is supported only when those effects are material relative to matched market shocks and can be traced to actual ownership, contracts, or project finance.

Operational criticality and strategic importance

Operational criticality depends on substitution time and tolerated loss. Strategic importance depends on unique relevance to defense, communications, science, industry, or sovereignty. Either can motivate the state to preserve a service or facilitate a transfer while allowing shareholders and creditors to absorb losses. Political pressure is not itself evidence of hard financial contagion.

Valuation-dependent acquisition: two competing branches

A stock-financed application acquisition exposes two rival mechanisms. In the value-creating branch, a high valuation reduces percentage dilution, the owner preserves product choice and quality, users remain, and workflow feedback improves task economics. In the value-destroying branch, ownership produces self-preferencing, partner conflict, user flight, overpayment, impairment, and weaker future acquisition capacity. Chapter 5 contains the canonical prospective application of this branch model.

Value destroying Overpayment, cross-subsidy, and integration complexity obscure economics. Goodwill or intangibles are impaired; segment transfers rise; task margin and cash conversion weaken.
Value destroying Valuation reversal makes future stock financing more expensive. Deal capacity contracts, dilution rises, and the integration narrative ceases to support the share price.

Governance, insider control, and resolvability

The ability to resolve a firm depends on voting control, board independence, succession, related-party transactions, asset partitioning, and transfer rights. SpaceX's prospectus states that Elon Musk would hold approximately 82.4 percent of the voting power after the offering and that the company qualifies as a controlled company under Nasdaq rules. It also describes dual-class shares, performance-based restricted shares, option and equity-plan supply, and extensive related-party relationships. OpenAI's nonprofit-controlled public-benefit structure and Anthropic's Public Benefit Corporation and Long-Term Benefit Trust create different governance tradeoffs. These structures affect key-person risk, public-shareholder influence, crisis decision rights, and the feasibility of separating critical services (SpaceX 2026f; OpenAI 2025a; Anthropic 2026b).

A complete analysis should therefore ask how large the firm is, who can decide, who can replace the decision maker, and whether critical services can be transferred. Can models, weights, data, satellites, spectrum, data-center contracts, and customer obligations be separated? Are related-party agreements replaceable? Can regulators or courts maintain service during restructuring? Do dual-class voting rights, founder dependence, mission structures, or restricted awards obstruct ordinary resolution?

Channel-specific decision rules

No arbitrary count of conditions converts a firm from "soft" to "hard" systemic importance. Each claim must satisfy the outcome test for its own channel. Financial-systemic language is appropriate only when distress threatens core financial functions. Operational-criticality language is appropriate only when tested substitution or recovery cannot meet required time and loss tolerances. Strategic language requires a defined state capability at risk and a comparison with realistic alternatives.

Evidence supporting a hard financial claim: material leveraged exposure, runnable funding, correlated collateral, margin spirals, intermediary losses, or payment and clearing disruption that exceeds matched market controls.

Evidence supporting an operational or strategic claim: critical users, long tested substitution times, unique capability, weak separability, and continuity plans that cannot preserve the function through ordinary restructuring.

Evidence weakening all concentration claims: low leverage, modular contracts, multiple suppliers, robust portability, independent customer choice, tested recovery, separable services, and ordinary loss allocation. Policy should protect functions and competition, not infer capital support from size.
